Terms and conditions for using ARCBIZ.

Agreement
These Terms of Use form an agreement between you and Velorian Corporation ("ARCBIZ," "we," "us," or "our") concerning ARCBIZ. By creating an account, selecting the required signup agreement, purchasing a subscription, or using ARCBIZ, you agree to these Terms and the Privacy Policy and agree to comply with applicable law. If you do not agree, do not create an account, purchase a subscription, or use ARCBIZ.
Eligibility
You may use ARCBIZ only if you can legally enter into this agreement and are not prohibited from using the service under applicable law. If you use ARCBIZ for a business or other organization, you represent that you have authority to act for that organization and that the organization is responsible for use of the service through its account.
The service
ARCBIZ provides software tools for recording, organizing, viewing, budgeting, scheduling, and reporting financial and accounting information. Features may differ by Personal or Business account, package, platform, country, or release. ARCBIZ is a recordkeeping software service and is not a bank, money transmitter, payment processor, lender, investment adviser, tax preparer, or accounting firm.
Your account and security
You are responsible for providing accurate registration information, maintaining the confidentiality of your credentials, securing devices used to access ARCBIZ, and activity performed through your account. ARCBIZ may allow an authorized account to remain saved on a device so that the user can restore or switch to that account without entering the password each time. You are responsible for protecting any device on which account access is saved and for removing saved access when a device is lost, transferred, shared with an unauthorized person, or no longer under your control. You may not share access in a way that permits unauthorized use or attempt to access another user’s account, workspace, or data. Notify the published ARCBIZ support channel promptly if you reasonably believe your account or device access has been compromised.
Your information and records
You are responsible for the accuracy, completeness, classification, ownership, legality, and appropriate backup or export of information you enter, import, upload, or generate through ARCBIZ. You should review important records and reports before relying on them for tax, filing, payment, business, credit, legal, or other decisions. ARCBIZ calculations and classifications depend on the information supplied and the features used.
Not professional advice
ARCBIZ is software and does not provide or replace professional accounting, tax, legal, investment, banking, credit, insurance, or financial advice. Reports, budgets, reminders, categories, balances, summaries, and other outputs are informational tools. You remain responsible for obtaining qualified professional advice when appropriate and for complying with laws, filing requirements, tax rules, contracts, and payment obligations applicable to you.
Scheduled transactions and reminders
An ARCBIZ scheduled transaction is an instruction for ARCBIZ to create a record inside the ARCBIZ ledger at the selected time when the scheduling feature is available. Unless a future feature expressly states otherwise, ARCBIZ does not send, withdraw, transfer, or settle money at your bank, card issuer, lender, merchant, payroll provider, or other financial institution. Reminders and notifications are convenience features only and may be delayed, interrupted, or unavailable. You remain responsible for actual payments, receipts, due dates, account balances, overdrafts, fees, and external financial activity.
Plans and feature access
ARCBIZ has separate Personal and Business package models. Personal package names, limits, advertising status, prices, and features are those displayed on the current Personal plan-selection screen. Business packages are Starter, Basic, and Pro. Business Starter is free and provides the core Business functions with up to 5 user-created accounts in each account category and up to 1,000 counted Business transaction events in total; protected ARCBIZ system accounts do not consume the per-category account allowance. Business Basic removes those account and transaction limits and adds Scheduled Transactions and Returns & Refunds. Business Pro includes Basic and adds Payroll, Payroll History, and A/R and A/P Aging Reports. The current in-app package screen controls the package offer presented to you, and package features or limits may be changed prospectively as permitted by law and marketplace rules.
Trials
Trial terms differ between Personal and Business and are displayed before enrollment. Under the current Personal package model, an eligible Personal account may receive one 15-day paid-tier trial. Under the current Business package model, an eligible Business account may receive one 30-day Business trial with effective Pro access, even if Basic is the intended paid package. Switching the intended paid package during an active trial does not restart or extend the original trial end date. When a trial ends, continued paid-tier access requires the applicable paid entitlement; otherwise access returns to the applicable Starter limits. A trial is not repeated for the same eligible account unless ARCBIZ expressly offers another promotion. Before any trial that automatically converts to a paid subscription begins, ARCBIZ will display the trial duration, applicable post-trial price and billing period, renewal terms, and cancellation information required by Apple and applicable law.
Subscriptions, renewal, and billing
Business Starter is currently offered free. The current U.S. Business prices displayed in ARCBIZ are \$6.99/month for Basic and \$14.99/month for Pro. Personal Starter is free with the currently displayed advertising status; the current U.S. Personal prices displayed in ARCBIZ are \$1.99/month for Starter Ad-Free, \$4.99/month for Basic, and \$9.99/month for Pro. On iOS, paid access is purchased through Apple App Store in-app purchase. Auto-renewing subscriptions continue until canceled and Apple may charge the applicable Apple Account payment method each billing period. The App Store purchase confirmation controls the final price, taxes, trial eligibility, renewal date, and billing terms for a particular purchase.
Cancellation and refunds
On iOS, subscriptions purchased through Apple App Store must be managed or canceled through Apple unless ARCBIZ expressly provides another Apple-authorized method. Cancellation normally stops future renewal while paid access continues through the end of the current paid period, subject to Apple rules and applicable law. Refund requests for App Store purchases are handled under Apple policies and applicable law. Deleting the ARCBIZ account does not automatically cancel an App Store subscription, so users should cancel any active Apple subscription separately.
Upgrades and downgrades
Upgrade and downgrade timing, credits, charges, and effective dates may be controlled by the applicable marketplace. ARCBIZ is designed to preserve existing accounting history rather than delete it solely because of a package downgrade. For Business, downgrading to Starter may make user-created accounts above the 5-per-category allowance view-only, and if the Business book is already at or above the 1,000 counted transaction allowance, existing history remains visible while new counted transaction activity may require Basic. Downgrading below Pro may lock new Payroll activity and A/R or A/P Aging Reports while preserving applicable historical records; downgrading below Basic may lock Scheduled Transactions and Returns & Refunds according to the package rules. Personal downgrade behavior follows the separate Personal package rules shown in ARCBIZ. The plan-selection screen will describe the package access that applies before a change.
Advertising
Advertising status may differ between Personal and Business packages and is described by the applicable package offer. Under the current Business package model, Business Starter, Basic, and Pro are not described as advertising-supported packages. If advertising is introduced or changed, ARCBIZ will update applicable disclosures, consent flows, package descriptions, and the Privacy Policy as required.
Acceptable use
You may not use ARCBIZ unlawfully; interfere with its security, integrity, availability, or operation; attempt unauthorized access; bypass package, authentication, authorization, or row-level security controls; probe or exploit the service; introduce malicious code; use automated means that unreasonably burden the service; impersonate another person; infringe intellectual-property or privacy rights; or use ARCBIZ to facilitate fraud, theft, money laundering, or other unlawful conduct.
Software and intellectual property
ARCBIZ, its software, interface, branding, documentation, and related materials are owned by or licensed to Velorian Corporation and are protected by applicable intellectual-property laws. Subject to these Terms, ARCBIZ grants you a limited, personal or internal-business, non-exclusive, non-transferable, revocable right to use ARCBIZ for its intended purpose. No ownership is transferred. You may not copy, sell, sublicense, redistribute, or reverse engineer ARCBIZ except to the extent applicable law expressly prohibits such a restriction.
Third-party and marketplace services
ARCBIZ depends on third-party infrastructure and currently interacts with Apple for iOS platform and App Store services and with Supabase for backend services. ARCBIZ may also interact with device operating-system services and other providers needed for supported features. Their services, availability, billing systems, and terms are outside Velorian Corporation’s direct control and may be governed by separate terms and privacy policies.
Reset Book
Reset Book clears the active eligible Personal Book while keeping the ARCBIZ login account. A protected recovery snapshot may be available for up to 30 days. Reset Book is not the same as deleting the ARCBIZ account. You are responsible for reviewing the confirmation and understanding which active records will be cleared.
Account deletion
Delete Account is intended to permanently delete the ARCBIZ account and applicable associated data through the protected deletion process, subject to limited retention required or permitted by law. It is separate from Reset Book and does not create a recovery snapshot. Account deletion does not automatically cancel an Apple App Store subscription.
Availability, maintenance, and changes
ARCBIZ may occasionally be unavailable because of maintenance, updates, internet or infrastructure failures, security events, platform changes, or circumstances beyond our reasonable control. Velorian Corporation may maintain, patch, update, improve, suspend, discontinue, or modify ARCBIZ or particular features when reasonably necessary for security, reliability, legal compliance, platform requirements, abuse prevention, or product development. We aim to preserve accounting integrity and existing history when changing accounting behavior. Material changes to paid subscription benefits will be handled in accordance with applicable law and marketplace requirements.
No warranty
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARCBIZ IS PROVIDED "AS IS" AND "AS AVAILABLE." Velorian Corporation DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LEGALLY BE DISCLAIMED. WE DO NOT WARRANT THAT ARCBIZ WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR EVERY ACCOUNTING, TAX, LEGAL, OR FINANCIAL PURPOSE. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Velorian Corporation AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING FROM OR RELATED TO ARCBIZ. TO THE MAXIMUM EXTENT PERMITTED BY LAW, Velorian Corporation’S AGGREGATE LIABILITY ARISING FROM OR RELATED TO ARCBIZ WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO ARCBIZ FOR ARCBIZ DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US\$100. THESE LIMITATIONS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED, INCLUDING RIGHTS THAT APPLICABLE CONSUMER LAW MAKES NON-WAIVABLE.
Indemnity for misuse
To the extent permitted by applicable law, if you use ARCBIZ on behalf of a business or organization, that business or organization will defend, indemnify, and hold harmless Velorian Corporation and its officers, directors, employees, and agents from third-party claims, liabilities, damages, and reasonable costs arising from unlawful use of ARCBIZ, violation of these Terms, or infringement of another person’s rights by information or materials supplied through that organizational account. This provision does not require a consumer to waive rights that cannot lawfully be waived.
Termination and suspension
You may stop using ARCBIZ at any time and may use available account-deletion controls. Velorian Corporation may restrict or suspend access when reasonably necessary to address fraud, abuse, security threats, legal requirements, nonpayment, marketplace entitlement changes, or material violations of these Terms. Where reasonably practicable and legally permitted, we will provide notice or an opportunity to resolve the issue. Termination does not erase obligations or rights that by their nature should survive, including payment obligations, ownership provisions, disclaimers, liability limitations, and dispute-related rights.
Governing law and consumer rights
These Terms are governed by applicable United States law and the law of the U.S. state in which Velorian Corporation has its principal place of business, without regard to conflict-of-law principles, except to the extent the law where you reside provides mandatory rights or a different governing-law rule that cannot be waived. Nothing in these Terms limits non-waivable consumer-protection rights.
Changes to these terms
We may update these Terms as ARCBIZ, applicable law, or platform requirements change. Material changes will be communicated as required by applicable law. Changes apply prospectively from their stated effective date unless applicable law requires otherwise. The current version will remain available inside ARCBIZ and through ARCBIZ official support or web channels where published.
